4.What legal documents should I receive as part of the Company Registration process?
Registering an Australian company is a legal process, governed by the Corporations Act and, as such, you should make sure you receive and generate all the correct documentation during and after the registration process.
So exactly what legal documentation will you require?
Probably the most important documentation is the Certificate of Registration of your company, provided by ASIC. This will include your unique Australian Company Number (ACN).
However, prior to incorporation, it will help you to complete the process if you also have access to templates for the following documents:
1. Written consents (required prior to incorporation) from any individual who agrees to act as a director, as company secretary or as the company's public officer. The numbers of individuals required (if any) to fill each of these posts will depend on the company structure you select.
2. Registered office: if you elect to use a registered office that is not the actual address from which your company will operate, you'll need the written consent of the occupier of that office before you can use it as your registered office
3. Minutes: before you can register a company with ASIC, in most instances you will need the minutes from the first director's meeting
4. Registers: you will also need to establish several 'registers' during the process of incorporation and these will need to be maintained once your company is registered. They include: a register of shareholders. You'll also need to be able to issue share certificates to shareholders and keep a register of those individuals who have applied to purchase shares.
